These Terms of Service govern your use of the Ops-Ease website and the provision of operations management services by Ops-Ease (Pty) Ltd. Please read them carefully before engaging our services.

Section 01

Introduction

These Terms of Service ("Terms") apply to all use of the Ops-Ease website at www.ops-ease.co.za and to all services provided by Ops-Ease (Pty) Ltd (Registration No. to be confirmed), a company incorporated in accordance with the laws of the Republic of South Africa ("Ops-Ease", "we", "us", or "our").

By accessing this website or engaging Ops-Ease for any service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use this website or engage our services.

Section 02

Definitions

  • "Client" means any person or entity that engages Ops-Ease for services under a signed Service Agreement or retainer.
  • "Services" means the operations management, compliance monitoring, HR administration, technology governance, and any other services provided by Ops-Ease as described in an agreed scope of work.
  • "Website" means the Ops-Ease website accessible at www.ops-ease.co.za and all associated pages.
  • "Service Agreement" means the written agreement entered into between Ops-Ease and a Client governing the provision of services.
  • "Confidential Information" means any non-public information disclosed by either party in connection with the services.

The content on this website is provided for general information purposes only. It does not constitute professional, legal, financial, tax, or compliance advice.

Permitted Use

You may access and use this website for lawful purposes only. You may not:

  • Use this website in any way that violates applicable local, national, or international laws or regulations.
  • Transmit any unsolicited or unauthorised advertising or promotional material.
  • Reproduce, duplicate, copy, or re-sell any part of the website content without prior written consent from Ops-Ease.
  • Attempt to gain unauthorised access to any part of the website or its underlying systems.
  • Use any part of this website or its content to train, develop, or improve any artificial intelligence or machine learning system.

Section 04

Services

Ops-Ease provides operations management services across five functional areas: People Operations, Compliance and Regulatory, Technology Operations, Finance and Business Performance, and General Operations. Project-based and ad-hoc services are also available and are scoped and quoted individually.

Scope clarification: Ops-Ease does not perform tax submissions, legal representation, insurance placement, or technical IT break-fix work. These functions are referred to appropriate qualified specialists. Our role is coordination and governance, not replacement of these professionals.

Free Operational Health Check

The free Operational Health Check is provided at no cost and with no obligation. The written gap report produced following the session is the property of the recipient and may be retained regardless of whether an engagement with Ops-Ease proceeds. The Health Check does not constitute a formal audit or legal compliance certification.

Section 05

Engagement Terms

All formal engagements between Ops-Ease and a Client are governed by a signed Service Agreement. The terms of that agreement take precedence over these general Terms of Service in the event of any conflict.

Retainer Services

Monthly retainer services are provided on a rolling monthly basis. Either party may terminate the retainer on 30 days' written notice. Fees are payable monthly in advance as specified in the Service Agreement.

Project and Ad-hoc Services

Project-based and ad-hoc engagements are scoped and quoted before any work commences. No engagement begins without a clear brief and an agreed deliverable confirmed in writing.

Payment

Invoices are payable within the period specified in the Service Agreement. Late payment may result in suspension of services. All fees are quoted and invoiced in South African Rand (ZAR) and are exclusive of VAT unless stated otherwise.

Section 06

Intellectual Property

All content on this website — including text, design, layout, graphics, and structure — is the original intellectual property of Ops-Ease (Pty) Ltd and is protected by applicable copyright and intellectual property laws.

No part of this website may be reproduced, distributed, transmitted, displayed, published, or broadcast without the prior written consent of Ops-Ease. This prohibition expressly includes use for the training, fine-tuning, or development of any artificial intelligence system.

Deliverables

Unless otherwise agreed in writing, all reports, frameworks, templates, and other deliverables produced by Ops-Ease in the course of an engagement remain the intellectual property of Ops-Ease. A non-exclusive licence to use those deliverables for the Client's internal business purposes is granted upon full payment of all applicable fees.

Section 07

Confidentiality

Both parties acknowledge that they may disclose or have access to Confidential Information in the course of an engagement. Each party agrees to:

  • Keep all Confidential Information strictly confidential.
  • Not disclose Confidential Information to any third party without prior written consent, except as required by law.
  • Use Confidential Information solely for the purposes of the engagement.
  • Take reasonable steps to protect Confidential Information from unauthorised disclosure.

These confidentiality obligations survive termination of any engagement.

Section 08

Limitation of Liability

To the maximum extent permitted by applicable law, Ops-Ease shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising out of or in connection with the use of this website or the provision of services.

Where liability cannot be excluded by law, the total aggregate liability of Ops-Ease to a Client shall not exceed the total fees paid by that Client to Ops-Ease in the three months preceding the event giving rise to the claim.

Section 09

Indemnity

You agree to indemnify and hold harmless Ops-Ease, its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of this website in breach of these Terms.
  • Any information or content you provide to Ops-Ease that is inaccurate, misleading, or incomplete.
  • Your breach of any applicable law or regulation.
Section 10

Termination

Ops-Ease reserves the right to terminate or suspend access to this website, or to terminate any service engagement, immediately and without notice if:

  • You breach these Terms or any Service Agreement.
  • You engage in conduct that is unlawful, harmful, or damaging to Ops-Ease or any third party.
  • Required by applicable law or a competent authority.

Upon termination of a retainer engagement on 30 days' written notice by either party, Ops-Ease will provide a final Progress Report and hand over all Client documents in its possession within a reasonable timeframe.

Section 11

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

Where a dispute arises between Ops-Ease and a Client, the parties agree to first attempt to resolve the matter through good faith negotiation before initiating formal legal proceedings.

Section 12

Changes to These Terms

Ops-Ease reserves the right to update or amend these Terms at any time. Updated Terms will be published on this website with a revised effective date. Continued use of the website or continued engagement with Ops-Ease after such changes constitutes acceptance of the updated Terms.

Clients with active Service Agreements will be notified of any material changes to these Terms that may affect their engagement.
